PJSC "Ukrsotsbank", UniCredit Bank™, held the extraordinary General Shareholders Meeting


On August, 5, 2013 an extraordinary General

Shareholders Meeting of PJSC “Ukrsotsbank”, which operates under the UniCredit Bank trade mark, was held.

During the meeting a set of important decisions were approved.

Namely, the shareholders approved a strategic decision on PJSC “UniCredit Bank” accession to PJSC “Ukrsotsbank”, which will be implemented through the reorganization of the first one. Besides this the terms of the Accession Agreement, concluded between PJSC “Ukrsotsbank” and PJSC “UniCredit Bank”, were approved right after the meeting at the same day.

According to the same decision the Commission for reorganization of PJSC “UniCredit Bank” was appointed. The Commission consists of Federico Russo, Graziano Cameli, Giacomo Volpi, Vladyslav Rashkovan, Francesco Pusateri, Viktoriia Boronenko and Larysa Fedyaeva.

According to the decision, taken by the shareholder of the Bank on August, 5, 2013, all the formalities on reorganization are planned to be completed in the QII 2014.

It should be noted that the composition of the Management Board of PJSC “Ukrsotsbank”, which would function after the reorganization process, was approved in its current composition: Graziano Cameli - Chief Executive Officer; Manokha Serhii Oleksandrovych, Giacomo Volpi, Zamanov Georgi Kostadinov, Savoschenko Tamara Yuriivna, Pavel Haskovec, Lubomyr Punchev, Berezhnyi Oleksii Mykolayovych – members of the Management Board.

In their turn, the shareholders chose the CEO and Deputy CEO of the Supervisory Board of PJSC “Ukrsotsbank” and its Members. The renewed Supervisory Board of the stated establishment consists of:

  • Willibald Cernko – Chairman of the Supervisory Board of PJSC “Ukrsotsbank”;
  • Borys Timonkin – Deputy Chairman of the Supervisory Board of PJSC “Ukrsotsbank”;
  • Gianni Franco Papa – member of the Supervisory Board of PJSC “Ukrsotsbank”;
  • Paolo Cederle - member of the Supervisory Board of PJSC “Ukrsotsbank”;
  • Doris Tomanek - member of the Supervisory Board of PJSC “Ukrsotsbank”;
  • Lorenzo Gianotti - member of the Supervisory Board of PJSC “Ukrsotsbank”;
  • Juergen Kullnigg - member of the Supervisory Board of PJSC “Ukrsotsbank”;
  • Harald Vertneg - member of the Supervisory Board of PJSC “Ukrsotsbank”.

Besides this on August, 5, 2013 the only shareholder of PJSC “UniCredit Bank” - UniCredit S.p.A (Milan), which solely executes the authorities of the General Meeting of Shareholders of PJSC “UniCredit Bank”, approved the following decisions:

1. On termination of PJSC “UniCredit Bank” through accession to PJSC “Ukrsotsbank”.
2. On approval of the terms of the Agreement on accession of PJSC “UniCredit Bank” to PJSC “Ukrsotsbank”.
3. On appointment of the Revision Commission for performance of inventory and revision of property values accounted with PJSC "UniCredit Bank".
4. On appointment of the Commission for reorganization of PJSC “UniCredit Bank” through its accession to PJSC “Ukrsotsbank”.
5. On appointment of the audit firm for confirmation of the transfer balance-sheet and performance of audit of financial statements of PJSC “UniCredit Bank”.
6. On terms of the reorganization and approval of the Plan for Reorganization.
7. On composition of the Management Board of PJSC “Ukrsotsbank” after reorganization.
8. On election of person (as custodian-successor) for ensuring further accounting and servicing/custody of the securities accounted at the securities accounts of depositors of PJSC “UniCredit Bank”, which accounts were not closed.
9. On approval of the Regulation on Commission for reorganization of PJSC “UniCredit Bank” through its accession to PJSC “Ukrsotsbank”.
10. On determining the procedure and terms for submission by the creditors of their claims to PJSC “UniCredit Bank”.

The renovated Ukrsotsbank emerged on 31 October 2016 as a result of strategic deal whereby 99.9% of Ukrsotsbank shares have been transferred from UniCredit Group to ABH Holdings S.A. (АВНН) in exchange for a minority 9.9% stake in ABHH. Thus, the bank has combined 26-year-old traditions of Ukrsotsbank’s client-centric attitude, European quality of service inherent to UniCredit, as well as international banking expertise of ABHH in a number of European countries including CIS. Thanks to the successful synthesis and synergy of the two assets of ABHH in Ukraine, Ukrsotsbank and Alfa-Bank, the banking market of Ukraine will see the rise of a new stronger financial institution. This, in turn, will spur up technological advance, increase efficiency, improve quality of service for the clients, reduce cost of banking services whereas their range will inevitably expand.

The extensive retail network of Ukrsotsbank consists of 237 branches, its headcount reaching nearly 5 thousand employees.
